These Terms and Conditions govern your use of the GlobalChipSupply website (globalchipsupply.com) and your purchase of electronic components and related products from GlobalChipSupply. By accessing our website or placing an order, you agree to be bound by these Terms and Conditions.

1. Introduction

GlobalChipSupply is an electronics supplier based in Germany. These Terms and Conditions form a binding agreement between you (“Customer”, “you”, or “your”) and GlobalChipSupply (“we”, “our”, or “us”). If you do not agree to these terms, please do not use our website or purchase our products.

2. Definitions

  • Products: All electronic components, semiconductor chips, integrated circuits, and related items sold by GlobalChipSupply.
  • Order: The purchase of Products through our website.
  • RMA: Returned Merchandise Authorization – a number that must be obtained before returning any product.
  • Chip Outpost Products: Excess inventory items that may have minor imperfections or discontinued status, sold on a final sale basis.

3. Orders and Payment

  • Order Acceptance: All orders are subject to acceptance by GlobalChipSupply. We reserve the right to cancel or refuse any order at our discretion.
  • Payment: Payment must be made in full at the time of order using our approved payment methods. Prices are listed in EUR unless otherwise indicated.
  • Accuracy of Information: You are responsible for providing accurate and complete information when placing an order.

4. Shipping and Delivery

  • Delivery: We will use commercially reasonable efforts to ship your order promptly. Delivery dates provided are estimates and are not guaranteed.
  • Risk and Title: Risk of loss and title for the Products pass to you upon delivery to the carrier.
  • Shipping Costs:
    •     For orders shipped to Germany, free delivery is provided on orders with a total of 50 EUR or more.
    •     Orders totaling less than 50 EUR will incur a shipping fee of 18 EUR.
  • Additional Costs: Any applicable customs or import duties are the responsibility of the Customer.

5. Returns, Refunds, and Exchange

5.1 Eligibility and RMA Requirement

  • Returns are accepted only for Products purchased directly from GlobalChipSupply. Products purchased from third parties are not eligible for return, refund, or exchange.
  • You must obtain a Return Merchandise Authorization (RMA) number from GlobalChipSupply before returning any Product.

5.2 Return Conditions

  • Timeframe: Returns (excluding those under manufacturer warranties) must be initiated within thirty (30) days from the invoice date.
  • Requirements: The returned Product must include:
    •      The original invoice number.
    •      A brief explanation for the return.
    •      The original packaging, with the Product unused and in a resalable condition.
  • Direct Supplier Returns: Certain Products shipped directly from suppliers may need to be returned to the supplier after receiving an RMA.
  • ESD-Sensitive Devices: All electrostatic discharge (ESD) sensitive devices may undergo inspection upon return. If not handled according to proper ESD standards, they may be ineligible for credit or refund.
  • Freight Charges: Return shipping costs must be prepaid or will be deducted from any invoice credit.
  • Customer Error: Returns solely due to customer error may be subject to a restocking fee.
  • Non-Returnable Products: Products specifically purchased from a manufacturer for you, or those identified as “Non-Cancellable/Non-Returnable” at the time of sale, cannot be returned.

6. Product Warranty, Disclaimer, and Limitation of Liability

6.1 Manufacturer Warranties

  • GlobalChipSupply will pass on any transferable manufacturer warranties to you at the time of sale. Copies of these warranties are available upon request.

6.2 No Additional Warranties

  • Except as stated above, all Products are sold “as-is” and “where-is.” GlobalChipSupply disclaims all additional express or implied warranties, including warranties of merchantability and fitness for a particular purpose.

6.3 Limitation of Liability

  • GlobalChipSupply shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use our Products. Our total liability in any case shall not exceed the purchase price of the Product at issue.

7. Chip Outpost Products

  • Nature of Chip Outpost Products: These are excess inventory items that may have minor imperfections (e.g., aged date codes) or may have been discontinued.
  • Final Sale: Chip Outpost Products are sold on a non-cancellable and non-returnable basis. Manufacturer warranties do not apply, except for any limited warranty expressly provided.

8. Purchaser’s Representations and Responsibilities

  • Product Suitability: You acknowledge that GlobalChipSupply distributes Products manufactured by third parties and does not independently test them for conformance with manufacturer specifications.
  • Usage Responsibility: It is solely your responsibility to determine whether the Products are suitable for your intended use, especially in applications where failure may result in property damage, personal injury, or other significant harm.
  • Risk Acknowledgment: Your use of the Products is at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless GlobalChipSupply, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorney fees) arising from:

  • Your use or misuse of the Products.
  • Your violation of these Terms and Conditions.
  • Any claim that your use of the Products infringes on third-party rights.

10. Force Majeure

GlobalChipSupply is not liable for any delays or failures in performance caused by circumstances beyond its reasonable control, including, but not limited to, natural disasters, labor disputes, transportation delays, governmental restrictions, or other unforeseen events.

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.
  • Jurisdiction: Any disputes arising from or related to these Terms will be resolved exclusively in the competent courts in Germany.
  • Waiver of Jury Trial: By placing an order, you waive your right to a trial by jury to the maximum extent permitted by law.

12. General Provisions

  • Entire Agreement: These Terms and Conditions constitute the entire agreement between you and GlobalChipSupply regarding your use of our website and purchase of Products.
  • Severability: If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
  • No Waiver: Failure by GlobalChipSupply to enforce any provision shall not be construed as a waiver of any future enforcement of that provision or any other provision.

GlobalChipSupply reserves the right to modify these Terms and Conditions at any time without prior notice. Any changes will be posted on our website with an updated “Last Updated” date. Your continued use of our website or purchase of Products after such changes constitutes your acceptance of the revised Terms.
